The $240 million acquisition plan aims to take advantage of the increasing demand for quality home-based nail care solutions.
This savvy business venture is projected to be finalized by the end of calendar year 2024, dependent on normal closure conditions including official regulatory approvals. The structure for this deal constitutes $225 million in cash at closing and a potential earnout of $15 million based on three-year performance standards.
Under the umbrella of Helen of Troy, Olive & June’s successful operation will continue using a “stand-alone but supported” model. This means keeping Olive & June’s present management team intact, inclusive of its founder and CEO Sarah Gibson Tuttle. This approach leverages Helen of Troy’s abundant resources and vast scale to further propel Olive & June’s growth trajectory.
As part of this endeavor, Helen of Troy intends to skillfully manage debt and counteract any interest rate exposure via interest rate swaps. They anticipate an increase in revenue, higher profit margins, and improved earnings per share as a result.
